1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Brickly ("Company," "we," "us," or "our") regarding your use of our document search and organization platform and related services (the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Brickly provides a cloud-based platform that enables businesses to:

  • Connect and organize documents from multiple sources (Google Drive, SharePoint, etc.)
  • Search across all connected documents using natural language queries
  • Create organized knowledge bases for teams and projects
  • Prepare document repositories for AI automation and workflow tools

3. User Accounts and Registration

3.1 Account Creation

To use our Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3.3 Account Security

You are solely responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

4. Acceptable Use

4.1 Permitted Use

You may use our Service only for lawful business purposes and in accordance with these Terms.

4.2 Prohibited Activities

You agree not to:

  • Upload or share illegal, harmful, defamatory, or infringing content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the Service to transmit malware, viruses, or other harmful code
  • Reverse engineer, decompile, or attempt to extract source code
  • Use the Service for any unlawful or fraudulent activity
  • Interfere with or disrupt the Service or servers
  • Violate any applicable laws, regulations, or third-party rights

5. Content and Data Ownership

5.1 Your Content

You retain all ownership rights to your documents, files, and data that you upload or connect to our Service ("Your Content"). We do not claim ownership of Your Content.

5.2 License to Use Your Content

By using our Service, you grant us a limited, non-exclusive, revocable license to process, store, and analyze Your Content solely to provide the Service to you. This license terminates when you delete Your Content or terminate your account.

5.3 Content Responsibilities

You are solely responsible for Your Content and must ensure you have the necessary rights and permissions to upload and share it through our Service.

6. Privacy and Data Protection

We are committed to protecting your privacy and data security:

  • Your data is encrypted end-to-end and stored securely
  • We never use your documents to train AI models
  • Your data remains isolated and is never shared with other customers
  • You can export or delete your data at any time

7. Payment Terms

7.1 Subscription Fees

Use of certain features of our Service requires payment of subscription fees. All fees are non-refundable except as required by law or as specifically stated in these Terms.

7.2 Billing and Payment

Subscription fees are billed in advance on a recurring basis. You authorize us to charge your designated payment method for all fees. If payment fails, we may suspend or terminate your account.

7.3 Price Changes

We may change our pricing with 30 days' notice. Price changes will not affect your current billing cycle but will apply to subsequent billing periods.

8. Service Availability

We strive to provide reliable service but cannot guarantee 100% uptime. We may perform maintenance, updates, or modifications that temporarily affect service availability.

We target 99.9% uptime availability and will provide advance notice of scheduled maintenance when possible.

9. Intellectual Property

The Service and all related technology, software, and materials are protected by intellectual property laws. We retain all rights, title, and interest in our Service, excluding Your Content.

You may not copy, modify, distribute, or create derivative works of our Service without express written permission.

10. Disclaimers and Limitation of Liability

10.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Brickly and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, Your Content, or violation of these Terms.

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or using account settings. Upon termination, you will retain access to your data for 30 days to allow for export.

12.2 Termination by Us

We may terminate or suspend your account immediately for violation of these Terms, non-payment, or other legitimate business reasons.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete Your Content according to our data retention policies unless legally required to retain it.

13. Governing Law and Disputes

These Terms are governed by the laws of New Zealand. Any disputes will be resolved in the courts of Christchurch, New Zealand.

Before pursuing formal legal action, we encourage you to contact us to seek a resolution.

14. Changes to Terms

We may modify these Terms at any time. When we make material changes, we will:

  • Update the "Last updated" date
  • Notify you via email or through the Service
  • Allow 30 days for you to object or terminate your account

Continued use of the Service after changes constitutes acceptance of the new Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Brickly regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
